Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you" or "User") and VestAI LTD, a private limited liability company incorporated under the laws of the Republic of Cyprus, with its registered office at [insert full legal address] ("VestAI," "we," "us," or "our"). These Terms govern your access to and use of our websites, applications, APIs, and other services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, you must not access or use the Services.

1. Eligibility and Account Registration

  1. Minimum Age. You must be at least 16 years of age to register for an account and consent to data processing under the EU General Data Protection Regulation (GDPR). If you are under 16, you must have verifiable parental or guardian consent.
  2. Registration Information. You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and all activity under your account. You may not share your credentials or allow any third party to access your account.
  3. Corporate Email Accounts. If you register using a corporate or organizational email, your organization may manage your account and may have the right to access, monitor, and control your account and Content.

2. License and Permitted Use

  1. Limited License. Subject to your compliance with these Terms, VestAI grants you a non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.
  2. Prohibited Uses. You must not:
    • Reverse engineer, decompile, or attempt to discover the source code or underlying algorithms.
    • Use the Services to develop competing AI models or products.
    • Infringe or violate any third-party rights, including intellectual property, privacy, or publicity rights.
    • Interfere with or disrupt the performance or integrity of the Services.
    • Circumvent security features, quotas, or usage limits.

3. User Content

  1. Definitions. "Input" means data, text, files, or materials you submit. "Output" means the results generated by VestAI in response. "Content" means both Input and Output.
  2. Ownership. You retain ownership of your Input. To the maximum extent permitted by law, VestAI assigns to you all rights, title, and interest in the Output. VestAI may use Content to provide, maintain, and improve the Services in accordance with our Privacy Policy.
  3. Representations and Warranties. You represent and warrant that you have all rights, licenses, and permissions necessary to submit your Input and to grant the rights set forth herein.

4. Privacy & Data Protection

  1. GDPR Compliance. VestAI processes personal data in accordance with the GDPR and applicable Cyprus/EU data protection laws. Please review our Privacy Policy, which forms part of these Terms.
  2. Opt-Out of Training. You may request that VestAI not use your Content for model training by following the instructions in our Help Center.
  3. Data Subject Rights. You have the right to access, rectify, erase, restrict processing, object to processing, and data portability, as provided by GDPR.

5. Fees and Payments

  1. Paid Services. Some Services require payment. Prices, billing cycles, and payment methods will be provided before purchase. Unless required by law, fees are non-refundable.
  2. Taxes. Fees are exclusive of VAT, which will be charged where applicable under EU law. VAT No.: [insert VAT number].
  3. Non-Payment. We may suspend or terminate your access if payment is not received when due.

6. Intellectual Property

  1. VestAI Ownership. VestAI and its licensors retain all rights, title, and interest in the Services, including all models, software, documentation, and trademarks.
  2. Feedback. You grant VestAI a worldwide, royalty-free, perpetual, and irrevocable license to use feedback and suggestions without obligation or compensation.

7. Confidentiality

  1. Definition. "Confidential Information" means non-public information disclosed under these Terms that is designated or reasonably understood to be confidential.
  2. Obligations. Each party must protect the other party’s Confidential Information with at least the same care it uses for its own and may only use it for purposes related to the Services.
  3. Exclusions. Confidential Information does not include information that (a) is or becomes public without breach; (b) was rightfully received from a third party; (c) was independently developed; or (d) must be disclosed by law.

8. Warranties & Disclaimers

  1. No Warranty. The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  2. Accuracy of Output. VestAI does not guarantee the accuracy, completeness, or reliability of any Output. Do not rely solely on Output for critical decisions.

9. Limitation of Liability

  1. Exclusion of Damages. To the maximum extent permitted by law, VestAI and its affiliates will not be liable for indirect, incidental, consequential, exemplary, or punitive damages.
  2. Aggregate Liability. VestAI’s aggregate liability for any claim will not exceed the greater of (a) the amount you paid in the 12 months preceding the claim, or (b) EUR €100.

10. Indemnification

You agree to indemnify and hold VestAI, its officers, directors, employees, and agents harmless from claims arising out of your breach of these Terms or misuse of the Services.

11. Termination

  1. By You. You may stop using the Services at any time.
  2. By VestAI. We may suspend or terminate your access for breach of these Terms or any other lawful reason upon notice.
  3. Effect. Upon termination, your license to use the Services ends, and Sections 3.2, 4, 6, 7, 8, 9, and 10 survive.

12. Changes to Terms

VestAI may update these Terms. For material changes, we will provide at least 30 days’ notice. Continued use after changes take effect means you accept the updated Terms.

13. Governing Law & Dispute Resolution

  1. Governing Law. These Terms are governed by the laws of the Republic of Cyprus, without regard to conflict of law rules.
  2. Jurisdiction. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nicosia, Cyprus.
  3. Arbitration Option. If both parties agree, disputes may be resolved by binding arbitration under the rules of the Cyprus Arbitration and Mediation Centre.

14. General Provisions

  1. Entire Agreement. These Terms and referenced policies constitute the entire agreement between you and VestAI.
  2. Severability. If any provision is unenforceable, the remainder will remain in effect.
  3. Assignment. You may not assign these Terms without VestAI’s consent. VestAI may assign to an affiliate or successor.
  4. Notices. We may provide notices via email or in-product messages. Your notices to VestAI must be sent to support@vestai.com.
  5. Force Majeure. VestAI is not liable for delays due to causes beyond its reasonable control.
